- Acceptance of These Terms
Welcome to the A2Z Freight Claims website and platform (collectively, “A2Z,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website(s), applications, software, dashboards, data analytics, content, and any related products or services we offer (together, the “Services”).
By accessing or using the Services, creating an account, clicking “I agree,” or otherwise indicating acceptance, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (https://a2zfreightclaims.com/privacy-policy/). If you do not agree, do not use the Services.
You may access the Services as an individual or through an organization with which you are employed, contracted, or otherwise affiliated (“Organization”). References to “you” or “your” include both the individual user and, where applicable, the Organization on whose behalf the Services are used.
- Accounts; Security; Misuse
To use certain features, you must create an individual account with accurate, current information and a strong password (“User Account”). You agree to:
- provide truthful information and keep it updated;
- maintain the confidentiality of your credentials;
- be responsible for all activity under your User Account; and
- promptly notify us of any unauthorized use or security breach.
You may not sell, transfer, share, sublicense, or otherwise permit anyone else to use your User Account. We may suspend or terminate any User Account at our discretion for suspected fraud, security concerns, or violations of these Terms.
Prohibited extraction or scraping. Unless expressly authorized in a written agreement signed by an officer of A2Z, you may not, by automated or manual means, scrape, harvest, frame, copy at scale, or otherwise extract data, content, or materials from the Services. Unauthorized extraction or republication is a material breach and may result in equitable relief, account termination, and monetary damages, including liquidated damages of CAD $25,000 per occurrence as a reasonable pre-estimate of loss.
- Access Provisioned by an Organization
If your Organization purchases or provisions your access, that subscribing party may control and administer your access (including the right to disable it) and may receive usage reports, subject to our Privacy Policy and applicable law.
- System Requirements
You are responsible for the hardware, software, compatible browsers, and internet access necessary to use the Services. We do not guarantee compatibility with any specific configuration and are not responsible for third‑party equipment or network performance.
- Changes to the Services or Terms
We may update these Terms or the Services from time to time. Revisions will be effective as of the “Revised Date” listed above or the date otherwise stated. Your continued use after revisions become effective constitutes acceptance. If you do not agree, you must stop using the Services.
- Eligibility; Age
The Services are intended for users who are the age of majority in their jurisdiction (typically 18+). By using the Services, you represent that you meet this requirement.
- Limited Licence
Subject to your compliance with these Terms, A2Z grants you a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable licence to access and use the Services for your internal business purposes.
- Fees; Taxes; Billing
Some features of the Services may require payment of fees. Prices, billing cycles, and payment terms will be presented at the point of purchase or in a separate order form or agreement. You authorize us (and our payment processors) to charge your payment method for agreed amounts and applicable taxes (including GST/HST and QST, where applicable). Fees are typically billed in advance and are non‑refundable, except as required by law or expressly stated otherwise.
We may change fees on 30 days’ notice. If you do not agree to fee changes, you may cancel before they take effect.
- Term; Termination; Suspension
You may cancel your paid subscription per the process in your account or order form; cancellations take effect at the end of the current billing period. We may suspend or terminate your access immediately for suspected fraud, security issues, non‑payment, or violations of these Terms. We may decline to renew any subscription at our discretion. Upon termination, your licence ends and you must stop using the Services.
- Notices
We may provide notices by email to the address associated with your User Account, by in‑product message, or by posting on the website. You agree that such electronic communications satisfy legal notice requirements. Legal notices to A2Z may be sent to [email protected] (update as needed) and to our postal address set out on our website.
- User Content
The Services may allow you to upload, submit, or share information, documents, comments, data, or other materials (“User Content”). You retain ownership of your User Content. You grant A2Z a worldwide, royalty‑free, transferable, sublicensable licence to host, use, reproduce, process, adapt, and display your User Content solely to operate, improve, and provide the Services and as otherwise permitted in our Privacy Policy.
You are solely responsible for your User Content and represent that you have all rights necessary to grant the foregoing licence and that your User Content does not violate law or third‑party rights.
- Intellectual Property
A2Z and its licensors own all rights, title, and interest in and to the Services, including software, text, graphics, logos, and other content, and all associated intellectual property rights. Except for the limited licence expressly granted, no rights are transferred to you. You may not use A2Z’s names, logos, or marks without our prior written consent.
We welcome feedback, comments, or suggestions (“Feedback”). You agree that A2Z may use Feedback without restriction or compensation to you.
- Storage; Availability
The Services are not a data backup or archival service. We may change, suspend, or discontinue the Services (or any part) at any time. We are not required to store or maintain any User Content except as required by law or our Privacy Policy.
- Third‑Party Content and Links
The Services may reference or link to third‑party websites, products, or services. We do not control and are not responsible for third‑party content or services. Your use of third‑party offerings is at your own risk and may be subject to separate terms and privacy policies.
- Prohibited Uses
You agree not to:
- violate any applicable law (including privacy, data protection, export, and anti‑spam laws such as CASL);
- upload malware or attempt to gain unauthorized access to the Services or related systems;
- interfere with or disrupt the integrity or performance of the Services;
- resell, lease, sublicense, or provide the Services to third parties without our consent;
- reverse engineer, decompile, or attempt to derive the source code (except as permitted by law);
- use the Services to develop a competing product or service; or
- mine, scrape, harvest, or automatically collect data from the Services except as expressly allowed in a separate signed agreement.
- Your Warranties
You represent and warrant that you have the authority to accept these Terms, that your use will comply with law, and that you will obtain all required consents for any personal information you submit to the Services.
- Indemnity
You agree to defend, indemnify, and hold harmless A2Z and our affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your User Content, your use of the Services, or your violation of these Terms or applicable law.
- Copyright Concerns
If you believe content on the Services infringes your copyright, please send a notice to [email protected] including: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact details; (d) a statement that you have a good‑faith belief the use is not authorized; (e) a statement that the information provided is accurate and, under penalty of perjury, that you are the copyright owner or authorized agent; and (f) your physical or electronic signature.
- Disclaimers; No Legal Advice; No Brokerage
A2Z is not a law firm and does not provide legal advice. Any information provided through the Services is for informational purposes only. You should obtain legal advice from qualified counsel before relying on any information.
A2Z is not a transportation broker and does not arrange for the movement of freight. Any carriage or brokerage arrangements are solely between the relevant parties.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, A2Z DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AVAILABILITY, SECURITY, OR ACCURACY. We do not warrant that the Services will be uninterrupted, error‑free, or free of harmful components.
- Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, A2Z AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, A2Z’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO A2Z FOR THE SERVICES THAT GAVE RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR CAD $100 IF NO SUCH PAYMENTS HAVE BEEN MADE).
- Severability; Waiver
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force. Failure to enforce any provision is not a waiver.
- Governing Law; Disputes; Venue
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict‑of‑laws rules. The parties irrevocably submit to the exclusive jurisdiction of the courts located in Montréal, Québec for any disputes arising out of or relating to these Terms or the Services. You waive any right to a jury trial and to participate in a class action, to the extent permitted by law.
If you are located outside Canada, you are responsible for compliance with local laws where you access the Services.
- Beta or Trial Features
From time to time, we may offer pre‑release, beta, or trial features. Such features are provided as‑is, may be changed or discontinued at any time, and may be subject to additional terms.
- Survival
Sections that by their nature should survive termination will survive, including without limitation Sections 8 (Fees), 11 (User Content), 12 (IP), 13 (Storage), 15 (Prohibited Uses), 17 (Indemnity), 19–22 (Disclaimers, Liability, Governing Law), and this Section 24.
- Community Standards (Optional)
We strive to maintain a professional, safe environment. You agree not to harass, intimidate, or discriminate; not to share unlawful, pornographic, or excessively graphic content; not to impersonate others; and to respect others’ privacy and intellectual property rights.
- API Access (If Offered)
If we provide application programming interfaces (APIs) or integrations, your use is subject to separate documentation and these Terms. You may not disclose, resell, or misuse API credentials. We may revoke API access at any time.
- Entire Agreement; Language
These Terms, together with our Privacy Policy and any order form or addendum signed by A2Z, constitute the entire agreement regarding the Services and supersede prior or contemporaneous agreements on the same subject. These Terms are prepared in English; any translation is for convenience only. In the event of conflict, the English version controls.
